I have heard that there are some utilities to create .xbe files. could someone give me some advice. thanks a bunch

It's called the MS XDK or OpenXDK.  OpenXDK is far less developed compared to the official XDK, but it is legal to distribute OpenXDK binaries.

so whats the whole point of this xbe creator.... ur saying i can convert an exe to an xbe and it will run on an xbox? so ur saying i can convert windows media player.exe to a xbe?

No think practical
wmp was compiled with the windows source as an exe, you can't just convert it you have to rewrite the code and/or recompile it
