It's a security mechanism built into most drives that allow you to lock the drive and only be able to access its contents if you have the password.

MS used this in a clever way to prevent switching drives from one xbox to another (each console has a unique key) or to prevent you from putting it in your pc and reading it. The retail MS bios requires the HDD to be locked to boot which is why you never unlock your HDD when you use a softmod (unless you know what you're doing).

You don't need a chip to unlock the drive but if you unlock it and you try to boot with a softmod afterwards, you'll get an error and will need to lock it in a PC using your eeprom or another chipped xbox flashed with your eeprom.

If it's unlocked...yes, you will be able to put it in a pc to read/write to it. The most reliable way of doing this is by using linux with the proper drivers for stability since the few programs that exist for windows are very buggy.
