The update will allow you to use a larger bios. Ok, so what is a larger bios? A larger bios can hold more information, telling your XBOX how to run. There are a few bioses which need at least 512k mod chip, such as the new X-ecuter bios, and Debug bioses. They aren't 'must have' bioses, so even if you do not get the upgrade, you will still be happy with your matrix mod chip.

No BIOS right now uses more than 256K, except the debug bios that most users will never need.  So, right now the upgrade isn't needed.  In the future it MAY be, but who knows?
