ok it does same thing on both my pcs...ones running win7 and one xp...any suggestions? i f'd with it for a good 3 hours last night but no luck...

That's because you need to use it in command line "start>run>cmd" then browse to folder with "xuipkg.exe" and "nameoftheme.xzp" then type command "xuipkg /U nameoftheme.xzp". Alternatively you can copy "xuipkg.exe" to "c:\windows\system32\" and it will be another default command for command line so "xuipkg.exe" doesn't have to be in the folder of your "nameoftheme.xzp".
