If you are using ICS (internet connection sharing)

Try Disabling Zonealarm

If that works you need to set up the ports in zone alarm.

There is a faq somewhere on MS / xbox .com but I cant find the damn thing.

ICS did not work for me using a free version of zone alarm, i don't like that program much.  you have a cable modem that is usb to your computer? it's not cat5 > usb adapter?

If possible get a home internet router for like $20 and use that instead.  ICS is a last resort kind of thing in my book....

ahhh

Temp way i got around it was to Install windows Media Edition XP on abnother partition (dual Boot), need this op sys anyway but i didnt want to loose 2K

everything is fine now till get a Wireless router
