Previously Used Eeprom & Retail Hd

Had a question about transfering a Eeprom & retail HD that's been on XBL to another xbox. Can I load the eeprom and install the hard drive on another xbox? And be sure that it will not get banned? I'm planning to upgrade my HD and would like to know if I can sell the old pair. Don't want anyone bitchin at me later. Thanks.
