I don't use Live...are you referring to the LAN code portion of the EEPROM.BIN, or is the Live Key something that comes with Xbox Live package?

The unique Xbox Live key that comes inside the Xbox Live box you buy at stores. You need it to create an account on Live.

Sounds like he wants to get out of the buying Live and paying for it for the first year.
